An important disclaimer is at the bottom of this article.
The Bank of Russia has established facts of manipulation in the trading of PJSC Moscow Exchange (hereinafter referred to as the Exchange) during transactions between a group of affiliated legal entities and individuals involving bonds of Russian companies.
Thus, LLC Plant “SILACH” (TIN 7451246377), LLC “OCTAD” (TIN 7451434589), LLC “SITERRA” (TIN 7422035068), and Dmitry Vasilievich Koromyslov together with Evgeny Gennadievich Komin, who together own 100% of the shares in their authorized capitals, in 2025 conducted transactions under a preliminary agreement in the main trading mode of the Exchange with bonds of PJSC “Sibur Holding” and PJSC “Rostelecom” (hereinafter – the bonds). This led to significant deviations in the price and trading volume of the bonds from the level that would have formed without such transactions.
At the same time, Koromyslov D.V. submitted applications to carry out transactions both for his own brokerage account and for the brokerage accounts of LLC “SITERRA” and LLC “OKTAD”, while Komin E.G. did so for the brokerage account of LLC Plant “SILACH”.
These actions fall under market manipulation according to paragraph 2 of part 1 of article 5 of the Federal Law dated 27.07.2010 No. 224-FZ “On counteracting illegal use of insider information and market manipulation and on amendments to certain legislative acts of the Russian Federation”.
Organizations on whose behalf and at whose expense such transactions are carried out bear responsibility as legal entities that have not taken all measures within their power to comply with the prohibition on market manipulation.
Therefore, the owners of organizations conducting transactions through their brokerage accounts must act in the best interests of the legal entities conscientiously, reasonably, and avoid situations where their personal interests may conflict with the interests of the companies.
LLC Plant “SILACH”, LLC “OKTAD”, LLC “SITERRA”, Koromyslov D.V., and Komin E.G. have been held administratively liable for market manipulation, and they have been issued orders to prevent similar violations in the future.
The Bank of Russia also issued directives to the trading organizers and professional participants in the securities market to suspend operations on the trading accounts of these legal entities and individuals.
The regulator draws the attention of trading participants and their clients, including affiliates, to the inadmissibility of participating in coordinated actions aimed at distorting fair pricing in organized trading, and of conducting transactions based on prior agreements in anonymous trading mode.
